These Terms of Service (the “Terms”) are an agreement between you and Napkin Bid (“Napkin Bid,” “we,” “us”) governing your use of the Napkin Bid website, application, and related services (the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Napkin Bid helps contractors produce job estimates. You provide a description of a job — typed or spoken text, photos, or video — and the Service generates a draft itemized estimate that you can review, edit, and send to your customer as a PDF.
2. Eligibility and accounts
The Service is intended for business use by contractors and trades professionals. You must be at least 18 years old and able to form a binding contract to use it. You sign in with a Google account; you are responsible for maintaining the security of that account and for all activity that occurs under it. Keep your account information accurate.
3. Estimates are drafts — you are responsible for your bid
Estimates produced by the Service are generated by artificial-intelligence models from the information you provide. They are drafts and suggestions only. They may be incomplete or inaccurate, may omit work or materials, and may misjudge quantities, labor, site conditions, code requirements, or prices.
You are solely responsible for every estimate and bid you send. Before relying on or sending an estimate, you must review it and verify all line items, quantities, and prices against your own knowledge of the job. Napkin Bid is a drafting tool, not an estimator, engineer, or advisor of any kind, and does not guarantee the accuracy, completeness, or profitability of any estimate. We are not a party to any contract between you and your customers.
4. Free trial
New accounts may generate a limited number of estimates at no charge (currently ten) before a paid subscription is required. The trial allowance is per account, does not renew, and we may change its size or availability for future signups at any time.
5. Subscriptions, billing, and cancellation
Beyond the free trial, the Service requires a paid subscription (currently $15 per month, plus any applicable taxes). By subscribing you authorize us and our payment processor, Stripe, to charge your payment method on a recurring monthly basis.Your subscription renews automatically each month until you cancel.
You can cancel at any time from the billing section of your account settings, which opens a Stripe-hosted portal. Cancellation takes effect at the end of the current billing period; you keep access until then. Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial billing periods or unused estimates.
We may change subscription pricing with at least 30 days’ advance notice (for example, by email or a notice in the Service). Price changes take effect at your next renewal after the notice period.
6. Usage limits
Paid subscriptions include a generous monthly estimate allowance (currently 100 estimates per billing period), intended to cover normal use by a contracting business. We may adjust limits or throttle usage that we reasonably believe is abusive, automated, or resold.
7. Your content
You retain ownership of the content you submit to the Service (descriptions, photos, video, pricing information) and of the estimates you generate. You grant us a limited license to host, process, and transmit that content as needed to operate and improve the Service, including sending it to the third-party AI providers and infrastructure we use to generate estimates. You are responsible for having the necessary rights to the content you submit, including any photos or video taken at a customer’s property.
8. Acceptable use
You agree not to:
- use the Service for anything unlawful, fraudulent, or deceptive;
- resell, sublicense, or provide the Service to third parties as a service;
- probe, disrupt, or circumvent security or usage limits;
- use automated means to access the Service except through interfaces we provide;
- submit content that infringes others’ rights or violates others’ privacy.
9. Our intellectual property
The Service — including its software, design, and branding — is owned by Napkin Bid and protected by law. These Terms do not grant you any rights in the Service other than the limited right to use it as described here.
10. Third-party services
The Service depends on third parties, including Google (sign-in), Stripe (payments), and AI model providers (estimate generation). Their services are governed by their own terms and privacy policies, and we are not responsible for them.
11. Privacy
Our Privacy Policy describes what information we collect and how we use it. By using the Service you consent to that collection and use.
12. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY ESTIMATE WILL BE ACCURATE OR SUITABLE FOR ANY PARTICULAR JOB.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NAPKIN BID WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST BIDS OR CONTRACTS, COST OVERRUNS, OR UNDERPRICED WORK, ARISING OUT OF OR RELATING TO THE SERVICE OR ANY ESTIMATE IT PRODUCES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF $50 OR THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.
14. Indemnification
You will indemnify and hold Napkin Bid harmless from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, the estimates and bids you send, your contracts with your customers, or your violation of these Terms.
15. Termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service, in which case we will refund any prepaid fees covering the period after termination unless the termination is for your violation of these Terms. Sections that by their nature should survive termination (including Sections 3, 7, and 12–17) survive.
16. Changes to the Service and these Terms
We are a small product under active development; features may change, improve, or be removed. We may also update these Terms. If a change is material, we will notify you (for example, by email or a notice in the Service) and, where required, ask you to accept the updated Terms before continuing. The effective date above identifies the current version. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
17. Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms, in whole or in part — including to an affiliate or successor entity, or in connection with a merger, acquisition, corporate reorganization, financing, or sale of assets. These Terms bind and benefit the parties and their permitted successors and assigns.
18. Governing law and disputes
These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-laws rules. Any dispute arising out of these Terms or the Service will be resolved exclusively in the state or federal courts located in Washington, and you consent to their jurisdiction. If any provision of these Terms is found unenforceable, the rest remains in effect. These Terms are the entire agreement between you and Napkin Bid regarding the Service.
